OMNIAIR AFFILIATE PROGRAM TERMS & CONDITIONS

By applying to, joining, or continuing to participate in the Omniair Affiliate Program (the "Program"), you ("Affiliate", "you") agree to be bound by these Terms & Conditions (the "Terms"). These Terms constitute a binding agreement between you and OMNIAIR ECOM - FZCO, located at Building A1, Dubai Digital Park, Dubai Silicon Oasis, Premises 87987-001, Dubai, United Arab Emirates, license no. 87987 ("Omniair", "we"), operating under the Omniair brand via @getomniair and www.getomniair.com.

Failure to comply with any provision of these Terms may result in forfeiture of commissions, removal from the Program, loss of all benefits, and recovery of the value of products provided.

These Terms are also available in Dutch. In the event of any discrepancy between the English and Dutch versions, the Dutch version prevails.

1. Content Requirements

As an active Omniair affiliate, you are required to:

Post a minimum of 1 (one) piece of original content per week featuring Omniair products on Instagram. Feed posts, Reels, and/or Stories all count toward the weekly minimum.
Tag @getomniair in every piece of content (in the caption, as a tagged account, or both). For Stories, tag @getomniair using a mention sticker or text tag.
Include your personal discount code (e.g. WESLEY10) in every post — in the caption, as on-screen text, or in a pinned comment. For Stories, include your code as a text overlay or link sticker.

Content that does not meet the requirements of Section 7 (Content Quality Standards) does not count toward the weekly minimum, at Omniair's sole determination.

2. Bio Requirements

You must display the following in your Instagram bio for the duration of your participation in the Program:

A mention of or link to @getomniair.
Your personal discount code.

3. Affiliates Under 18 Years of Age

If you are under 18 years old, participation in the Program is permitted only with the prior written consent of your parent(s) or legal guardian(s). This consent must be provided to Omniair before participation begins, using the consent form supplied by Omniair, and must expressly cover:

Agreement to these Terms in their entirety;
Agreement to the content license (Section 4) and the use of the minor's portrait, name, and likeness (Section 5), including use in paid advertising;
Agreement to the processing of personal data as described in Section 15.

Omniair may at any time request proof of this consent and of the identity of the parent/guardian. Without valid consent, participation is not permitted; in that case, Omniair may terminate participation with immediate effect and suspend any accrued commissions until valid consent has been provided.

4. Content License & Usage Rights

By creating, submitting, or posting any content featuring Omniair products, packaging, or branding as part of or during your participation in this Program ("Affiliate Content"), you grant Omniair a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable, and transferable license to use, reproduce, copy, crop, modify, adapt, edit, remix, subtitle, dub, translate, combine with other material, publish, distribute, publicly display, and commercially exploit the Affiliate Content, in whole or in part, in any and all media now known or hereafter developed, including but not limited to:

Omniair's owned channels (websites, webshops, landing pages, social media accounts, email and SMS marketing, newsletters, apps).
Paid advertising on Meta (Instagram, Facebook), TikTok, YouTube, Google, Pinterest, Snapchat, and any other platform, including dark posts, whitelisting/creator-licensed ads (e.g. Meta partnership ads, TikTok Spark Ads), and retargeting campaigns.
Display as testimonials, reviews, quotes, or social proof on product pages, checkout pages, review sections, and marketing materials (see Section 6).
Product packaging, inserts, point-of-sale materials, and printed marketing collateral.
Press, partner, retailer, and B2B communications.

Whitelisting / creator authorization. Upon Omniair's request, you will grant Omniair advertising access to your creator account (e.g. via Meta Business partnership requests or TikTok Spark Ads authorization codes) so that Affiliate Content can be promoted from your handle. Refusal without reasonable grounds constitutes a breach of these Terms.

You confirm and warrant that:

You are the sole owner of the Affiliate Content, or have obtained all necessary rights, licenses, releases, and consents from any individuals featured and for any third-party material used (including music, voiceovers, fonts, and visuals).
Omniair's use of the Affiliate Content as licensed above will not infringe any third-party rights, including intellectual property, portrait, privacy, or publicity rights.
You waive, to the fullest extent permitted by applicable law, any moral rights and any right to inspect, approve, or receive additional compensation for Omniair's use of the Affiliate Content.
This license survives termination of your participation in the Program, regardless of the reason for termination.

Omniair is not obligated to credit you when using Affiliate Content.

5. Portrait, Name & Likeness Consent

You hereby expressly, irrevocably, and unconditionally consent — within the meaning of Articles 19–21 of the Dutch Copyright Act (Auteurswet) and any equivalent laws in other jurisdictions — to Omniair's use of your portrait, image, likeness, voice, name, handle, and biographical details as they appear in or alongside any Affiliate Content, for all purposes and in all media described in Section 4, including paid advertising.

You acknowledge and agree that:

The complimentary products, commission opportunity, and exposure provided under this Program constitute full, fair, and adequate consideration for this consent, and that you have no reasonable interest (redelijk belang) within the meaning of Article 21 of the Dutch Copyright Act to oppose such use.
You waive any claim to additional remuneration in connection with the use of your portrait or likeness, regardless of the commercial success of any campaign in which it appears.
This consent is perpetual, survives termination of the Program, and — to the maximum extent permitted by law — cannot be withdrawn with respect to Affiliate Content already created, published, or incorporated into advertising materials.
If, notwithstanding the foregoing, you lawfully withdraw consent under applicable data protection law, such withdrawal applies only prospectively to new uses and does not affect the lawfulness of prior use; Omniair will in that case be granted a reasonable wind-down period of at least 90 days to phase out active campaigns.

6. Use as Testimonials & Reviews

You agree that Omniair may extract quotes, captions, statements, ratings, and audiovisual excerpts from your Affiliate Content and from your communications with Omniair, and display these as testimonials, reviews, or social proof on Omniair's websites, product pages, advertisements, and marketing materials. You confirm that any such statements reflect your genuine experience with the products. Omniair may lightly edit such statements for length, spelling, and clarity, provided the substance is not materially altered. Omniair will apply any disclosure labelling (e.g. "affiliate" or "received free product") that is required under applicable law.

7. Content Quality Standards

All Affiliate Content must:

Feature you personally — product-only photos or flat lays without you in the frame do not count toward your weekly minimum. Show yourself with the product in real, everyday moments.
Be varied and creative — a healthy mix of photo and video content (Reels, static posts, Stories) and variety in themes (morning routines, workouts, unboxings, before/after moments, lifestyle). Repetitive or low-effort content does not count toward the weekly minimum, at Omniair's sole determination.
Be original — no reposted, recycled, or AI-generated content without prior written approval.
Clearly and authentically feature or mention Omniair products.
Comply with all applicable advertising disclosure rules (e.g. #ad, #gifted, or "paid partnership" labels where required by law). Compliance with these disclosure obligations is solely your responsibility; you will indemnify Omniair for any failure to comply (see Section 13).
Not contain any medical, health, or performance claims that have not been approved in writing by Omniair.
Not contain profanity, nudity, political statements, illegal activity, or content that could reasonably harm Omniair's reputation.

8. Free Product & Samples

Omniair provides affiliates with complimentary products on a monthly basis, exclusively for personal use and content creation. These products are not intended for resale; resale constitutes a material breach. Continued receipt of free products is conditional on full compliance with these Terms. In the event of a material breach, Omniair may invoice you for the retail value of all complimentary products received in the preceding 12 months, payable within 14 days of the invoice date.

9. Compliance, Monitoring & Audit

Omniair monitors affiliate activity on an ongoing basis. If you fail to meet the minimum posting requirement for two consecutive weeks, Omniair may, at its sole discretion and in any order:

Issue a warning and require immediate compliance.
Suspend commission accrual and payouts until you are compliant again.
Pause or cancel future product shipments.
Remove you from the Program.

Omniair may audit sales attributed to your code or link. Commissions generated through self-purchases, coupon-site leakage, purchase incentives outside the approved mechanics, fraudulent orders, cancelled or returned orders, or chargebacks are invalid and will be reversed or reclaimed, including after payout.

10. Commission & Payouts

Affiliate commissions are earned only on qualifying sales made through your personal discount code or referral link, as recorded in the Social Snowball dashboard. Commission rates, payout thresholds, and payment schedules are as specified in that dashboard and may be adjusted by Omniair with reasonable notice.

Forfeiture on breach. All pending, accrued, and future commissions are conditional on your continued compliance with these Terms. In the event of a material breach — including but not limited to breach of the exclusivity clause (Section 11), unapproved health claims, fraudulent sales activity, resale of complimentary products, failure to meet content requirements after written warning, or conduct damaging to Omniair's reputation — Omniair may withhold and permanently forfeit all unpaid commissions, regardless of when the underlying sales were generated. Omniair may suspend payouts for the duration of any investigation into a suspected breach.

11. Exclusivity & Competing Brands

Omniair operates in the recovery, sleep, breathing, and performance categories. As an active affiliate, you agree not to promote, endorse, create content for, or enter into any paid or unpaid partnership with any competing brand for the duration of your participation in the Program and for a period of 30 days thereafter.

Competing brands include, but are not limited to, any brand selling: nasal strips, mouth tape, sleep masks, breathing aids, snoring solutions, or any product positioned as a direct alternative to Omniair products. A non-exhaustive list of current competitors includes Hostage Tape, SomniFix, Snoozeless, HiStrips, Sniffys, Zippit, and Gudslip.

If you are uncertain whether a brand qualifies as a competitor, you must request written approval from Omniair before engaging in any partnership or promotional activity.

Upon breach of this clause, Omniair may, at its sole discretion and without prior notice: forfeit all unpaid commissions; immediately terminate your participation; deactivate your discount code and referral link; cease all shipments and benefits; invoice the retail value of complimentary products received in the preceding 12 months; and pursue any other legal remedies available under applicable law. You acknowledge that this exclusivity clause is a material term of your participation and that Omniair's investment in you is conditional upon it.

12. Brand Representation & Non-Disparagement

You agree to:

Not make false, misleading, or exaggerated claims about Omniair products.
Refrain from any behavior that could damage Omniair's reputation, both during the Program and after termination.
Not make public disparaging statements about Omniair, its products, founders, or team, during the Program and for 12 months after termination. This does not restrict honest reviews where required by law, or reports to competent authorities.
Not use Omniair branding, logos, or assets in any unauthorized manner, including in usernames, domain names, or bidding on Omniair brand terms in paid search advertising.

13. Indemnification

You will indemnify, defend, and hold harmless Omniair, its group companies, officers, and employees from and against all claims, damages, fines, penalties, and costs (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) third-party claims relating to Affiliate Content, including intellectual property, portrait, or privacy claims of persons other than yourself; (c) your failure to comply with advertising disclosure or consumer protection rules; or (d) unapproved claims you make about the products.

14. Limitation of Liability

Omniair's total aggregate liability toward you under or in connection with the Program is limited to the total commissions actually paid to you in the 3 months preceding the event giving rise to the claim. Omniair is not liable for indirect or consequential damages, lost profits, or loss of followers, reach, or platform access. Nothing in this section limits liability for intent or gross negligence.

15. Privacy

Omniair processes your personal data (name, contact details, payment details, content, performance data) for the purpose of operating the Program, on the legal bases of contract performance and legitimate interest. Details are set out in Omniair's privacy policy at www.getomniair.com. The use of your portrait is governed by Sections 4–6. For affiliates under 16 years of age, the processing of personal data is additionally based on the consent of the parent(s) or legal guardian(s) as referred to in Section 3.

16. Termination

Omniair may terminate your participation at any time, for any reason, with or without notice. Upon termination:

You must remove all Omniair references from your bio and cease using your discount code in new content within 7 days.
Omniair retains the perpetual license and consents outlined in Sections 4–6.
Unpaid commissions remain payable only if termination is not the result of a breach of these Terms; in the event of a breach, Section 10 (Forfeiture on Breach) applies.

17. Modifications

Omniair may update these Terms at any time. Affiliates will be notified of material changes. Continued participation after notification constitutes acceptance. If you do not accept the updated Terms, your sole remedy is to exit the Program.

18. Governing Law & Disputes

These Terms are governed by the laws of the Netherlands. Disputes will be submitted exclusively to the District Court of Amsterdam, unless mandatory law provides otherwise (in which case the court designated by such mandatory law has jurisdiction).

19. Miscellaneous

If any provision is held invalid or unenforceable, it will be replaced by a valid provision that most closely reflects its intent, and the remainder of these Terms remains in force.
These Terms constitute the entire agreement regarding the Program and supersede all prior communications.
Failure by Omniair to enforce any provision does not constitute a waiver of that provision.
